The annual report
- An Oregon LLC renews every year with the annual report, due on the anniversary of its formation
- The anniversary is the date the Articles were filed, shown on your entry in Find a Business
- Fee: $100 per the fee schedule, as of September 2026, the same as the original filing
- Calendar it with a reminder a month ahead; the state's mailed notice (about 45 days out, per secondary sources only) is a courtesy, not a guarantee
- File through the online Business Registry: processing is same or next business day
- Expect to confirm what the state has on file, including the registered agent and office, then pay
If you miss it
- The course notes describe the result as administrative dissolution, but I found no official state page saying so, so treat it as unverified
- Either way, a lapse can cost the name, the bank's confidence, and payer contracts that require good standing
- Past the date, call the Corporation Division and ask what applies
Keeping the registered agent current
- An LLC must keep a registered agent with an Oregon street address; it is a continuing condition
- Moved offices, or let a commercial agent lapse, and the filing points at a door that no longer reaches you
- A lawsuit served there may go unnoticed until a default is entered
- Amendments are $100 on the schedule; whether an agent change alone costs that was not verified, so check the schedule and the form

- Confirm the registered agent, office address, and principal address before filing
